Syllabus

Course Objectives

The course aims to provide the fundamental legal tools that are indispensable for operating with awareness and professionalism in the economic and entrepreneurial world.

The main learning objectives that the course intends to achieve are as follows:

  • To furnish a solid understanding of the core principles and key institutions of Italian private law (e.g., legal subjects, assets, obligations, contracts, civil liability, property, succession, family law), with particular emphasis on those directly relevant to economic activities.
  • To enable students to identify the structure and function of various legal norms and their interrelationship.
  • To empower students to read and interpret the primary sources of law (the Civil Code, specific statutes, case law) in relation to concrete economic scenarios.
  • To cultivate the ability to identify the underlying legal aspects of complex economic operations (e.g., business contracts, financial transactions, generational transfers of businesses), distinguishing between what is lawful, expedient, and risky.
  • To illustrate how law is not merely an external constraint on economic activity, but rather an enabling and structuring factor that influences corporate decisions, market formation, risk management, and the protection of interests.
  • To foster an understanding of how economic and social dynamics generate new regulatory demands, and how legal responses can either stimulate or impede economic development.
  • To educate students to correctly identify and characterise the legal issues that may arise in the life of a business or in the management of an estate.
  • To provide the tools for evaluating the various legal solutions available, weighing their pros and cons from a perspective of economic efficiency and risk management.
  • To enable students to become familiar with fundamental legal terminology, utilising it in an appropriate and precise manner.
  • To develop the ability to communicate clearly, both orally and in writing, the legal implications of economic and business phenomena.

This course provides the foundational principles of italian private law necessary for conscious operation within the economic and business world, focusing on:

  • Legal Subjects and Assets: Who acts in law (individuals and businesses) and what they own (types of assets, property).
  • Obligations: Debtor/creditor relationships, how they arise, how they are extinguished, and the consequences of non-performance.
  • Contract: The fundamental legal instrument for economic activity (essential elements, validity, effectiveness, termination), with an emphasis on business contracts and banking/financial agreements (e.g., leasing, mortgage loans).
  • Civil Liability: When and how one is accountable for damages caused (risk management).
  • Brief Overview of Family and Succession Law: Relevance for wealth management and the generational transfer of businesses.
