Le limitazioni al regime di circolazione e valorizzazione delle azioni e quote, profili civilistici

This contribution proposes the analysis of some legal instruments offered by private autonomy in the corporate sphere, in order to allow the entrepreneur - in all cases in which the latter intends to determine, before his death, the succession of the company of family - to effectively plan the generational handover, favoring or disfavouring, depending on the case, the transfer of shareholdings in the company, with the aim of defusing the risks of disintegration of the business unit and conflicts between family members.
