Syllabus

Course Objectives

At the end of the course, the student will have a thorough knowledge of limited liability company law and the regulation of transfers of market instruments (paper and dematerialised securities, shares, electronic and scriptural money, virtual currencies)


Course Prerequisites

Basic knowledge of private law and business law

Assessment Methods

The final examination consists of an oral interview on the two parts of the syllabus and the evaluation is expressed in thirtieths. Each individual answer will be assessed according to the following criteria - relevance to the question; - comprehensiveness with respect to the question; - proposing appropriate connections; - synthesis (no redundancies and repetitions); - language property; - clarity of exposition.


A written intermediate test in the form of an essay on the part of the course taken so far will take place during the course.



Contents

The Commercial Law II course focuses on:


A) on the legal circulation of economic values both through the traditional instruments of securities and through dematerialised securities, shares, scriptural money, electronic money and virtual currencies;


B) in-depth studies on the most widespread type of joint-stock company (the s.r.l.).



A) Historical and legislative profiles - General profiles - The circulation of securities - Dogmatic principles - Analysis of the discipline - Profiles of the most relevant securities - The dematerialisation of securities and the notion of securities and financial instruments - 'Bank' payment instruments.



B) Introductory Profiles - Articles of incorporation and models - Contributions - Financing and debt securities - Shares - Changes in shares - Shareholders' powers and the formation of corporate decisions - Invalidity of shareholders' decisions - Administration - Responsibilities for administration - Audits - Company books and financial statements - Amendments to the articles of incorporation. The increase and reduction of share capital - Withdrawal and exclusion.
