Syllabus

Course Objectives

The course aims to provide the knowledge and the skills that allow to manage complex commercial operations in international markets, learning how to meet the challenges posed by global competition by strategically using methodologies, techniques and tools of international business in the ever-changing contexts of world scenario, in order to manage operational risks and operate successfully in international trade.

In order to understand the topics of the course, it is essential to have at least a basic knowledge of Business Economics and Private Law; familiarity with Commercial Law is also helpful.



Teaching Methods

The teaching will use a mixture of lectures, in-class discussion and case study analysis, in close relation to developments of international trade relations. Meetings with international trade professionals may also be organized.


Assessment Methods

The exam will be written with 31 multiple choice questions. The evaluation of written exam will be as follow:- + 1 when the answer is correct, 0 when no answer and –0,5 when the answer is wrong.



Contents

International trade management process: from negotiating the contract to collecting the revenue.

1. International trade relations: context, main evolutionary dynamics and economic data; role of World Trade Organization; characteristics and conditions to operate successfully in the global markets. resources, benefits and risks of international trade.

2. International contract law; diversity of legal systems; stages of the commercial transaction; the international sales contract: legal sources (CISG, Rome I Regulation, etc.), perfection, form, applicable law, content, models; breach of contract by the parties and possible remedies; conformity of the goods and warranty for defects; international commercial dispute resolution.

3. Logistics, delivery of goods and international transport; Incoterms® 2020: sharing of costs, risks and responsibilities of delivery of the googd; international logistical planning; characteristics of the international means of transport; types and responsibilities of transport operators; contract of carriage, forwarding, warehousing; calculation of freight; compensation for transport damage and international cargo insurance.

4. Payment systems, documentary credits, bank guarantees and credit risk protection; the role of banks in international trade; definition of collection factors; choice of means of payment for the foreign trade transaction; simple and documentary collections; bank guarantees; credit and insurance solutions for credit risk protection.

5. Taxation in international trade; VAT structure and prerequisites; VAT treatment of intra-Community transactions: the Intrastat system; VAT treatment of extra-Community transactions; tax benefits for regular exporters.

6. Customs requirements in foreign trade; customs integration processes (free trade areas, customs unions, etc.); the European Union and its territory; customs functions in international trade; sources of customs law; customs clearance process: the customs report; elements of customs clearance:classification, value and origin of goods; duties on goods; definitive and temporary customs procedures. .

7. Documents and certificates in international business practice: purpose, classification and type.
