Syllabus

Course Objectives

The course aims to illustrate to students the main methods covering merger & acquisition in a broad sense. Particular attention is given to provide students with a deep understanding of the mechanism (evaluation, pricing, operations structure, management) as regards to the following areas: raising risk capital, capital increase, private equity and venture capital, mergers & acquisition, restructuring.

Course Prerequisites

Knowledge of accounting, financial calculus and corporate finance are very useful and recommended.

Teaching Methods

Teaching activities include lectures and guided discussions based on institutional documents or scientific papers on topics of current relevance. There will be also many exercises to be solved

Assessment Methods

The exam is written and includes, true/false-answer, exercises.

Contents

The course content is: 1)Business plan and corporate evalutation; 2)equity capital market: IPO (pricing and structure of transaction); 3) capital increase; 4) private equity (deal structure, evaluation process, exit, LBO, Venture capital); 5) M&A; 6) risk management in M&A.
